Important Legal Notice

This document is an electronic record in terms of the Information Technology Act, 2000 and rules thereunder. It is generated by a computer system and does not require physical or digital signatures. By accessing, browsing, registering, or using the Yantra Bhavan platform, you agree to be bound by these Terms, including all disclaimers, limitations, indemnities, and risk allocations.

1. Definitions

1. Platform: The website hosted at https://yantrabhavan.com, related subdomains, dashboards, APIs, forms, and software tools operated as Yantra Bhavan.
2. Yantra Bhavan: The sole proprietorship/entity operating the Platform from Bharuch, Gujarat, India.
3. Proprietor: The individual owner of the sole proprietorship operating Yantra Bhavan.
4. User: Any person or entity that visits, accesses, registers on, or uses the Platform.
5. Buyer: A User requesting quotes, uploading specifications, or placing purchase orders for manufacturing services.
6. Seller / Manufacturing Partner: A User offering manufacturing, finishing, logistics support, or related services.
7. Mode A (SaaS Mode): Intermediary operation where Yantra Bhavan provides digital tools only and does not collect or settle transaction consideration.
8. Mode B (Marketplace Mode): Limited mode where platform-enabled payment facilitation is activated for eligible transactions.
9. Consideration: All commercial amounts agreed between Buyer and Seller including product price, tooling, shipping, duties, taxes, and related charges.
10. CAD Files: Technical files, 2D/3D models, drawings, BOMs, instructions, and specifications uploaded, shared, or linked by Users.

2. Acceptance, Capacity, and Eligibility

1. By using the Platform, you represent and warrant that you are legally competent to enter binding contracts under applicable law.
2. If you use the Platform on behalf of a business, you represent that you have authority to bind that business to these Terms.
3. Use of the Platform by persons below legal contracting age is prohibited unless expressly permitted by law and supervised by an authorized guardian or entity.
4. Continued use after any update to these Terms constitutes acceptance of the revised Terms.

3. Platform Role, No Agency, and Relationship Disclaimer

1. Yantra Bhavan functions as a technology intermediary that provides digital workflows for quote discovery, communication, and transaction coordination.
2. Unless explicitly stated in a written addendum, Yantra Bhavan is not the manufacturer, supplier, reseller, importer, exporter, logistics provider, inspection authority, insurer, escrow trustee, or guarantor for any order.
3. No partnership, agency, franchise, fiduciary, employment, or joint venture is created between Yantra Bhavan and any User.
4. Commitments on quality, schedule, certifications, and delivery are made by the Seller, not by Yantra Bhavan.

4. Dual-Mode Framework

1. 4.1 Mode A (Default)
   • Buyer and Seller contract directly and independently.
   • Payments occur outside platform-controlled settlement unless Mode B is expressly activated.
   • Payment or status labels in dashboards are administrative records and not acknowledgments of custody of funds.
2. 4.2 Mode B (Exception)
   • Mode B applies only where Seller opt-in, required onboarding/KYC, and payment facilitation activation are completed for the specific transaction flow.
   • If Mode B is not explicitly activated, all transactions are deemed Mode A and Yantra Bhavan has no payment settlement liability.

5. Account, Security, and Operational Responsibility

1. Users are responsible for account credentials, API keys, session security, and access control.
2. You must promptly notify suspected unauthorized use, credential leakage, or account compromise.
3. Yantra Bhavan may suspend access for fraud indicators, sanctions concerns, legal requests, abuse patterns, or security risk without prior notice.
4. You are responsible for all actions performed through your account unless prohibited by mandatory law.

6. Buyer Responsibilities and Acknowledgements

1. Buyer is solely responsible for technical correctness, manufacturability, tolerances, standards compliance, and fitness for purpose of all submitted CAD Files and instructions.
2. Buyer must independently validate design safety, material suitability, compliance, and end-use restrictions before production.
3. Buyer acknowledges custom manufacturing can involve variation within declared tolerances and process capabilities.
4. Buyer shall not use delivered parts in life-critical, medical implant, aerospace flight-critical, military, nuclear, or other safety-critical applications without independent certification and regulatory clearance.

7. Seller Responsibilities and Compliance

1. Seller is the principal supplier and is solely responsible for manufacturing execution, process controls, quality assurance, traceability, packaging, dispatch, and post-sale obligations.
2. Seller is solely responsible for statutory registrations, tax filings, labor compliance, product compliance, and applicable permits.
3. Seller shall provide accurate specifications, production status, and dispatch updates, and shall not misrepresent certifications, capacities, or lead times.

8. Pricing, Taxes, and Payment Terms

1. Quotes shown on the Platform are indicative unless expressly marked final by the Seller under agreed assumptions.
2. In Mode A, tax invoice issuance, tax collection, GST treatment, and statutory remittances are solely between Buyer and Seller.
3. In Mode B, payment facilitation may involve deduction of platform charges, statutory deductions, gateway fees, chargebacks, and adjustments prior to settlement.
4. Users bear responsibility for withholding taxes, import/export duties, and cross-border levies applicable to their transactions.

9. Shipping, Dispatch, and Transfer of Risk

1. Manufacturing partners dispatch goods directly to Buyers unless otherwise agreed between Buyer and Seller.
2. Shipping charges are based on package dimensions, weight, insurance (if selected), destination, declared value, and chosen speed/service level.
3. Delivery timelines are estimates and can vary due to capacity, material shortages, logistics issues, customs, weather, strikes, force majeure, or regulatory holds.
4. Unless a different written incoterm is agreed, risk and title transfer to Buyer when goods are handed to the carrier.
5. Yantra Bhavan is not liable for transit loss, delay, misrouting, theft, or damage once handed over to the carrier.
6. Buyer is responsible for customs duties, import taxes, inspections, brokerage fees, and destination-country compliance.

10. Cancellations, Returns, and Quality Disputes

1. Custom-manufactured orders are non-returnable and non-exchangeable after production authorization.
2. Cancellations before production authorization may be allowed as per Seller policy and payment state; post-authorization cancellation is generally unavailable.
3. Quality claims must be raised within seven calendar days of delivery with objective evidence.
4. Only material non-conformance or gross deviation from approved specifications may be eligible for remediation as determined by Seller and applicable law.
5. Yantra Bhavan may facilitate communication and evidence flow but does not guarantee refunds, replacements, or credits.

11. Acceptable Use and Prohibited Activities

Users must not upload, request, quote, produce, or distribute items that are illegal, dangerous, sanctioned, or infringing.

• Firearms, controlled weapon components, or ammunition.
• Counterfeit or intellectual-property-infringing goods.
• Illegal narcotics or prohibited substances/devices.
• Restricted defense, dual-use, or export-controlled items without required permissions.
• Malware, unauthorized data extraction attempts, scraping abuse, or network/security interference.

Breach may lead to immediate suspension/termination, transaction cancellation, reporting to authorities, and legal action.

12. Intellectual Property, CAD Confidentiality, and License

1. Buyer retains ownership of submitted CAD/design IP, subject to the limited operational licenses in these Terms.
2. Buyer grants a limited, revocable, non-exclusive license to Yantra Bhavan and selected Sellers to process files strictly for quoting, production planning, manufacturing, and dispute handling.
3. Sellers must treat design files as confidential and shall not reuse, resell, reverse-engineer, or disclose designs except as strictly necessary to fulfil the order.
4. Yantra Bhavan does not warrant that uploads by Users are non-infringing and is not liable for third-party IP claims caused by User-submitted content.

13. Data Protection and Privacy

1. Yantra Bhavan processes personal/business data for account operations, platform security, transaction facilitation, fraud prevention, and legal compliance.
2. Users consent to such processing as described in applicable privacy notices and these Terms.
3. Users should avoid uploading unnecessary personal data in CAD files or attachments.

14. Third-Party Services and External Dependencies

1. Platform functionality may depend on third-party infrastructure including cloud providers, payment gateways, logistics systems, communication tools, and analytics services.
2. Yantra Bhavan does not guarantee continuous availability, uninterrupted uptime, or error-free operation of third-party systems.
3. Outages, latency, data mismatches, API changes, and service degradation caused by third parties are outside Yantra Bhavan's direct control.

15. Disclaimer of Warranties

1. The Platform is provided on an "as is" and "as available" basis.
2. To the maximum extent permitted by law, Yantra Bhavan disclaims all warranties, whether express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted access, data accuracy, and security performance.
3. No oral or written information from Yantra Bhavan creates any warranty unless expressly stated in a signed written agreement.

16. Limitation of Liability

1. To the maximum extent permitted by law, Yantra Bhavan and the sole proprietor shall not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, business, data, goodwill, contracts, or production opportunities.
2. Without prejudice to the clause above, total aggregate liability of Yantra Bhavan for all claims arising out of or relating to the Platform or these Terms shall not exceed the lower of: fees actually received by Yantra Bhavan from the claiming user in the twelve months preceding the event, or INR 10,000.
3. Where law does not permit full exclusion of liability, liability is limited to the minimum extent allowed by law.
4. Users acknowledge this allocation of risk is a fundamental basis of access to the Platform.

17. Indemnity and Defense

You agree to indemnify, defend, and hold harmless Yantra Bhavan, the proprietor, affiliates, contractors, and service providers from all claims, liabilities, penalties, losses, actions, and costs (including legal fees) arising from or related to:

• Your breach of these Terms or applicable law.
• Your designs, specifications, products, or end-use decisions.
• Your tax, customs, regulatory, or licensing non-compliance.
• Third-party IP infringement allegations linked to your uploaded content or manufacturing instructions.
• Personal injury, property damage, recall, warranty, or product liability claims associated with your goods.

18. Suspension, Termination, and Enforcement Rights

1. Yantra Bhavan may suspend or terminate accounts, listings, quotes, chats, or file access immediately for security, legal, fraud, policy, sanctions, or operational reasons.
2. Suspension/termination may occur without prior notice where immediate action is reasonably necessary.
3. Sections intended by nature to survive termination remain in force, including disclaimers, liability limits, indemnities, governing law, and dispute clauses.

19. Communications, Notices, and Electronic Records

1. You consent to receive legal notices, service updates, transactional alerts, and policy communications electronically.
2. Notices are deemed served when sent to your registered email, displayed in your dashboard, or otherwise published via Platform notice channels.

20. Modifications to Services and Terms

1. Yantra Bhavan may modify, suspend, or discontinue features, modules, integrations, or service components at any time.
2. Yantra Bhavan may revise these Terms periodically. Updated versions become effective upon publication unless a later date is stated.
3. Your continued use after updates constitutes acceptance.

21. Governing Law, Arbitration, and Jurisdiction

1. These Terms are governed by the laws of the Republic of India.
2. Disputes arising from or related to these Terms shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed in accordance with applicable law.
3. The seat and venue of arbitration shall be Bharuch, Gujarat, India, and proceedings shall be conducted in English.
4. Subject to arbitration, courts at Bharuch, Gujarat, India have exclusive jurisdiction.

22. General Clauses

1. Severability: If any provision is held unenforceable, remaining provisions remain effective.
2. No Waiver: Failure to enforce any right is not a waiver of that right.
3. Assignment: Users may not assign rights or obligations without prior written consent of Yantra Bhavan.
4. Force Majeure: Yantra Bhavan is not liable for delay/failure due to events beyond reasonable control, including natural disasters, war, cyber incidents, utility outages, labor disruptions, government actions, and supply chain disruptions.
5. Entire Agreement: These Terms, together with linked legal policies, constitute the complete agreement between User and Yantra Bhavan regarding Platform use.

23. Liability Notice

To the maximum extent permitted by applicable law, Yantra Bhavan and its sole proprietor shall not be liable for indirect, incidental, special, consequential, exemplary, punitive, commercial, or reputational losses, or for losses arising from third-party sellers, carriers, payment networks, user designs, or user decisions.
